Complaints policy

1. Introduction

These Terms of Business (“Terms”) set out the basis on which Forge Commercial Finance Ltd (“Forge”, “we”, “us”, or “our”) provides commercial finance brokerage services. By engaging Forge, you agree to be bound by these Terms.

Forge operates exclusively in the commercial finance market and does not provide regulated financial advice or consumer financial services.

2. Our Role

Forge acts as an introducer and arranger of commercial finance only. We:

  • Introduce clients to third-party lenders and finance providers

  • Assist with structuring and progressing funding opportunities

  • Do not act as a lender

  • Do not provide advice or recommendations

  • Do not guarantee that finance will be offered or completed

All lending decisions are made solely by the lender.

3. Scope of Services

Forge may assist with arranging a range of commercial finance solutions, including (but not limited to):

  • Commercial and semi-commercial property finance

  • Development and refurbishment finance

  • Asset and equipment finance

  • Working capital and trade finance

 

Forge does not provide services relating to consumer credit or regulated mortgage contracts.

4. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information

  • Inform us promptly of any material changes

  • Cooperate with reasonable information requests from lenders

 

Forge is entitled to rely on information provided by you without independent verification.

5. Fees and Charges

5.1 Client Fees

Where applicable, any broker fee payable by you will be agreed in advance and confirmed in writing prior to submission to a lender.

Unless otherwise expressly agreed in writing, broker fees are payable upon completion of the transaction and are non-refundable once the transaction has completed.

The amount, basis, and timing of any fee will be:

  • Agreed with you in advance

  • Confirmed in writing

  • Payable upon completion of the transaction, unless otherwise agreed

 

5.2 Lender Commission

Forge will typically receive commission from lenders in connection with transactions introduced by us. Commission levels vary between lenders and products and will be disclosed to you in accordance with our Commission & Fee Disclosure document prior to completion.

6. Payment of Fees

Fees are payable upon successful completion of a transaction unless otherwise agreed. Forge reserves the right to invoice fees directly to you or to deduct fees from lender commission where applicable.

7. No Advice

Forge does not provide regulated financial advice, investment advice, or recommendations.

Any information provided is for general commercial purposes only. You are responsible for making your own decisions and for obtaining independent professional advice where appropriate.

8. Confidentiality and Data Protection

Forge will handle personal and business data in accordance with its Privacy Notice and Data Protection Policy. By engaging Forge, you consent to the processing and sharing of information with lenders and professional advisers for the purpose of arranging finance.

9. Complaints

If you are dissatisfied with our service, you may raise a complaint in accordance with Forge’s Complaints Policy.

 

As Forge is not authorised or regulated by the Financial Conduct Authority, complaints are not eligible for referral to the Financial Ombudsman Service.

10. Limitation of Liability

Forge shall not be liable for:

  • Any lender’s decision to decline or withdraw funding

  • Losses arising from information provided by you or third parties

  • Consequential or indirect losses

 

Nothing in these Terms limits liability for fraud or wilful misconduct.

11. Termination

Either party may terminate the engagement at any time by providing written notice. Termination does not affect Forge’s entitlement to fees in respect of transactions completed or substantially progressed prior to termination.

12. Governing Law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.

13. Acceptance

By using our site, you confirm that you have read, understood, and agree to these Terms of Business.
